BASF and Mikhail Friedman's LetterOne have completed negotiations on merging of Wintershall and DEA. It is one of the most large-scale in recent years transactions in branch with participation of business of the Russian Federation and the EU. Why it has become possible against the background of cooling of the relations between Russia and the West? Photo: depositphotos.com Closing of the transaction is expected in the first half of the year 2019. She will pass in a form of exchange of shares. LetterOne will introduce all the stocks in DEA in Wintershall Holding in exchange for issue of new stocks by absolute "subsidiary" of BASF in favor of L1. The German concern will receive 67% of common stocks of the united company, and LetterOne — 33%. As a result the independent producer of oil, largest in Europe, and gas will turn out. Participants of the transaction expect that Wintershall of DEA in three years will be able to reach production level of 800 thousand barrels in days of an oil equivalent. As treat the transaction in Germany, the German political scientist Alexander Rar:aleksandr Rar the journalist has told, the political scientist "Process of merge went two years. First of all he will strengthen positions of both companies even not in Russia: Wintershall will be engaged in the North Sea, and there, of course, it is enough still oil and gas, and they will get it. It is considered as absolutely positive, I think, development. Nobody critically treats it. And as for sanctions, the German government has told that it will preserve, protect such companies. The Minister of Foreign Affairs of Germany now in New York has told that it is necessary to create influence levers against the American sanctions policy so today all this looks not so terribly as several weeks ago". At the beginning of a year Friedman has appeared in the so-called Kremlin file which was prepared by the American Ministry of Finance. That is both the businessman, and his assets can theoretically appear under sanctions. But participation of large Russian business in the transaction on merging of Wintershall and DEA hardly increases risks for the new German company. The independent analyst Dmitry Lyutyagin:dmitry Lyutyagin the independent analyst "Representatives of business who have the Russian roots comments, this is German Han and Mikhail Friedman who just when have sold the shares in TNK-BP and have left, they just also have acquired the DEA company, that is have begun to develop the alternative energy project which, in principle, isn't tied by actually any roots to Russia. That is, if to look at resource base and assets of DEA, they actually with Russia aren't crossed - it is first of all the transaction of business, that is any political implication I in this transaction don't see". Risks increases, so far purely theoretically, participation in the transaction of the German concern BASF. Its "daughter" works with Gazprom, their joint venture is an operator of the Opal gas pipeline — overland continuation of Nord Stream in the territory of Germany. Besides, Wintershall has a share and in the gas pipeline on a bottom of the Baltic Sea. But, as we know, the German business supports mitigation of the European sanctions against Russia.
